guaranteed by Portman Square Properties Limited, J.L.P. Investment Company Limited, Knighton Estates Limited, Pontsarn Investments Limited, G.P.E. (Bermondsey Street) Limited, GPE (Soho Square) Limited, G.P.E. (St Thomas Street) Limited and GPE (Piccadilly) Limited

 

Capitalised terms used in this Notice that are not otherwise defined shall have the meanings given in the trust deed dated 25 September 2024 which constitutes the Notes (the Principal Trust Deed).

NOTICE IS HEREBY GIVEN that each of GPE St Andrew Street Limited, GPE (Whittington House) Limited and GPE (135-141 Wardour St) Limited (together, the Additional Guarantors) has acceded as an Additional Guarantor in respect of the Notes pursuant to a Supplemental Trust Deed (as defined below) in respect of the Notes with effect on and from 19 June 2025 (the Accession Date and the accession of the Additional Guarantors, the Accession).

To implement the Accession:

(i)      the Issuer, the Additional Guarantors and BNY Mellon Corporate Trustee Services Limited in its capacity as trustee in respect of the Notes (the Trustee) have entered into a supplemental trust deed dated 19 June 2025 that supplements the Principal Trust Deed (the Supplemental Trust Deed); and

(ii)     the Additional Guarantors have entered into a deed of accession dated 19 June 2025 by which the Additional Guarantors will accede to the paying agency agreement dated 25 September 2024 in respect of the Notes (the Deed of Accession).

Copies of the Supplemental Trust Deed and the Deed of Accession are available for inspection during normal business hours by Noteholders and Couponholders by request to the Trustee at its registered office (for the time being at 160 Queen Victoria Street, London EC4V 4LA, United Kingdom).
